The Client wishes to hire Becca Reynolds Interiors to provide services relating to the Client's project as detailed in this Agreement. Designer has agreed to provide such services according to the terms of this Agreement.
The full scope of services, deliverables, and project timeline for this engagement are defined in the Scope of Services document produced by Materio and attached hereto as Exhibit A. The Scope of Services document is incorporated by reference and forms a binding part of this Agreement. In the event of any conflict between this Agreement and the Scope of Services, the terms of this Agreement shall govern.

The project will commence on 2026-05-25 and is expected to be completed by 2026-08-24. The timeline will largely depend on the needs of the client and construction schedule determined by the contractor.

The total estimated cost for this project including all services and products is due in full by Completion of Project. Client shall pay the Total Cost to Designer as follows:

Fees for interior design services are project and scope dependent. Payments can be made by credit card or bank transfer. A 3% convenience fee is added to all credit card payments. Invoices are to be paid within 3 days from receipt. Late fees of 10% will be applied for all late invoices. Design fees are non-refundable.
This agreement includes a total of 20 hours to cover client-facing meetings, site visits, and revisions as outlined in the scope of services. 2 hours of revisions is included. Meetings, site visits and revisions requested by the client that exceed this time will be billed at a rate of $200/hour. The Designer will notify the client when approaching the allotted time. Invoices will be issued for any overages at the end of the month.
The Designer will conduct up to 2 site visits as part of this Agreement. Additional site visits or consultations beyond the agreed scope will be billed at $200/hour. Travel time to sites beyond a 20-mile radius will be billed at $100/hour.
Any requests beyond the original scope, including revisions exceeding the included hours, material re-selections, or expanded design areas, must be agreed to in writing and are billed at $200/hour. The Designer is under no obligation to begin additional work without prior written consent and payment terms.
The Designer's responsibility ends 30 days after final design delivery or styling walkthrough unless otherwise agreed in writing. Any additional work, revisions, or re-engagement shall require a new contract or be billed at the hourly rate of $200/hour.
The Client acknowledges that all drawings provided by Becca Reynolds Interiors, including but not limited to 2D plans, 3D renderings, and elevations, are for representation purposes only. Measurements and proportions in these drawings are approximate and must be verified on-site before the installation of any products or materials.
The 3D renderings provided by the Designer are intended for visual representation only. Colors, textures, finishes, and other visual elements in the renderings may vary from the final physical product due to lighting conditions, material availability, and manufacturing processes. The Designer is not responsible for any discrepancies between the 3D renderings and the actual finished project.
The Client acknowledges that all measurements must be verified on-site before installation. The Designer is not responsible for any damaged products, mistakes, or delays caused by third-party contractors or installers.
All items sourced and purchased directly through Becca Reynolds Interiors will be subject to the terms outlined in this Agreement. The Designer will assist with placing orders, receiving goods, and coordinating deliveries.
- i. Client Purchases: During the term of this Contract the Client agrees not to purchase, procure, or acquire any furniture, fixtures, décor, or products for the project from any source other than the Designer without prior written approval.
- ii. Antiques and Custom Products: The Client acknowledges that the Designer may propose antiques or custom-made products. Antiques and custom products are non-refundable.
- iii. Discounts and Sourcing Fees: Furniture purchased through wholesale vendors are subject to discounts up to 30% off MSRP. Discounts do not apply to construction materials. Products from retail stores are not subject to discounts.
- iv. Returns, Repairs and Warranty Claims: Products may be refundable when accepted by the manufacturer. Restocking fees may apply. Custom products cannot be returned. Designer will be responsible for returns, exchanges, and refunds within 30 days of final installation date.
- v. Inspection, Installation, and Delivery Fees: The Client agrees to use a local receiving warehouse provided by the designer. Inspection, installation, and delivery fees are assessed at a flat fee of 15% of the total cost of purchases. Warehouse storage is included for up to 2 months from the date of delivery. Items stored beyond 2 months will incur an additional storage fee of $50 to $200 per item, per month, depending on item size.
The Client agrees to use a local receiving warehouse provided by the Designer for all deliveries. Inspection, installation, and delivery fees are assessed at a flat fee of 15% of the total cost of purchases. Warehouse storage is included for up to 2 months from the date of delivery. Items stored beyond 2 months will incur an additional storage fee of $50 to $200 per item, per month, depending on item size.
Receiving Warehouse: MUVR Tampa
The Designer will provide warranty assistance only for items sourced and purchased directly through Becca Reynolds Interiors. Warranty claims must be reported within the manufacturer's warranty period. Items purchased by contractors or third parties must have their warranty claims handled by those parties.
The Designer may collaborate with external contractors or consultants (e.g., General Contractor, Installer). The Client will sign separate agreements with these third parties, and the Designer does not guarantee their work or provide a warranty. The Designer is not responsible for managing the construction process, scheduling, permitting, structural decisions, or contractor performance.
If the Builder is replaced, the Client agrees to notify the Designer immediately. Additional services resulting from a builder change will be billed at $200/hour. If the Client cancels the project before completion, all work completed up to that point must be paid in full, and no refunds will be issued.
In order to ensure the best service possible, phone calls must be pre-scheduled. Emails and messages are preferred for record-keeping purposes.
Designer will be responsive to communication Monday – Friday, 8am – 5pm. Please allow up to 24 hours or next business day for a response.
If the Client chooses to cancel this Agreement prior to project completion, all work completed up to the date of cancellation will be billed in full. All fees paid to date are non-refundable. The Designer reserves the right to withhold deliverables or design files until outstanding balances are paid in full.
If the project is delayed for more than 14 consecutive days due to reasons outside of the Designer's control, the Designer reserves the right to: pause all services; reschedule the project timeline subject to calendar availability; charge a reactivation fee of $500 to restart paused services; and reassess the flat fee if the delay results in significant scope changes.
The Client agrees to notify the Designer immediately of any known or anticipated delays. Failure to communicate delays in writing may result in additional charges or rescheduling.
The Designer retains all copyrights to work created under this Agreement. Any design work, drawings, renderings, or plans are the exclusive property of Becca Reynolds Interiors.
The Client grants the Designer a non-exclusive license to use photographs and visuals of the project for advertising and promotional purposes, provided that sensitive details remain confidential. The Client may request modifications or object to specific images within 5 days.
The Client understands that design services are subjective, and the Designer will use their professional artistic judgment. The Designer will incorporate the Client's preferences, but the final decision regarding aesthetic quality rests with the Designer. Dissatisfaction with the Designer's style or judgment does not entitle the Client to a refund or contract termination.
The maximum amount of damages the Client may claim under this Agreement shall not exceed the Total Cost of Services provided by the Designer.
The Client agrees to indemnify and hold the Designer harmless from any claims, damages, or liabilities arising from the services or products provided under this Agreement.
In the event of delays caused by Force Majeure (e.g., natural disasters, pandemics, supply chain issues), the Designer will make reasonable efforts to resume work as soon as possible. Payment obligations remain in effect for completed work, and additional costs resulting from Force Majeure-related delays will be the responsibility of the Client.
Governing Law. The laws of Florida govern all matters arising out of or relating to this Agreement, including torts.
Severability. If any portion of this Agreement is deemed to be illegal or unenforceable, the remaining provisions of this Agreement remain in full force.
Dispute Resolution. In the event of a dispute arising from this Agreement, both parties agree to engage in mediation before pursuing legal action. Mediation will be conducted in Tampa, FL, and each party shall bear its own legal costs. If mediation does not resolve the dispute, the matter may be submitted to binding arbitration.
Non-Disparagement. The Client agrees not to publicly or privately make any false, defamatory, or disparaging statements about the Designer, their services, or any affiliated vendors.

Merger. This Agreement constitutes the final, exclusive agreement between the parties relating to the Project and Services. All earlier and contemporaneous negotiations are expressly merged into and superseded by this Agreement.
Amendment. The parties may amend this Agreement only by the parties' written consent via proper Notice.
This document is legally binding upon signature.
